Terms of Service

These Terms of Service ("Terms") govern your access to and use of PropoKit (the "Service"), a product operated by Denali Tech Inc. ("we," "us," or "our"). By using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using PropoKit, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

PropoKit is a web-based application that allows users to create, manage, and share professional business proposals. Features include proposal creation, client signing links, PDF export, QuickBooks Online integration, and proposal sharing.

3. Limited License

Subject to these Terms and your active account status, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use PropoKit for your internal business proposal workflow. We do not sell or transfer ownership of the Service, software, source code, design system, templates, workflows, or branding to you.

4. Account Registration

You must create an account using an available sign-in method, such as Google, Microsoft, or email/password, to use the Service. You are responsible for maintaining the security of your account and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Upload or transmit any malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or other user accounts
• Interfere with or disrupt the integrity or performance of the Service
• Scrape, crawl, or use automated means to access the Service without our consent
• Copy, reproduce, frame, mirror, or resell the Service, its interface, workflows, templates, page structure, or generated proposal structure except as expressly allowed by these Terms
• Reverse engineer, decompile, disassemble, inspect, extract, or attempt to derive source code, non-public APIs, data models, pricing logic, security rules, or system design from the Service
• Use the Service to build, train, benchmark, or improve a competing product, proposal builder, proposal management platform, or substantially similar software service
• Remove, obscure, or alter any copyright, trademark, proprietary, attribution, watermark, or plan-based branding notice shown by the Service
• Use bots, scripts, scraping tools, browser automation, or other automated systems to harvest data, copy screens, enumerate accounts, test limits, bypass rate limits, or reproduce the Service
• Use the Service to send spam, phishing, or unsolicited communications
• Impersonate any person or entity or misrepresent your affiliation

6. Your Content

You retain ownership of all content you create, upload, or store through the Service ("Your Content"), including proposals, company information, and uploaded files. By using the Service, you grant us a limited license to host, store, and display Your Content solely for the purpose of providing the Service to you.

You are solely responsible for the accuracy, legality, and appropriateness of Your Content. We do not review or endorse any proposals or business documents created through the Service.

7. Shared Proposals

When you generate a share link for a proposal, the proposal content becomes accessible to anyone with that link. You are responsible for sharing links only with intended recipients. Shared proposals may include a client signing or approval workflow, and the related signing record is stored as part of the proposal record. You are responsible for determining whether that workflow is appropriate for your customer, contract, industry, and jurisdiction.

8. Third-Party Integrations

The Service may integrate with third-party services such as QuickBooks Online. Your use of third-party integrations is subject to those services' own terms and privacy policies. We are not responsible for the actions or policies of third-party services.

9. Subscription and Payments

PropoKit currently offers a free trial and paid subscription plans. Current pricing and billing terms are presented during onboarding or checkout. Subscription charges are processed through a third-party payment processor on behalf of Denali Tech Inc. We reserve the right to change pricing with reasonable notice. Refunds or credits, if any, are handled on a case-by-case basis.

10. Service Availability

We aim to maintain reliable availability of the Service but do not guarantee uninterrupted or error-free operation. We may temporarily suspend the Service for maintenance, updates, security reasons, abuse prevention, or infrastructure issues. When practical, planned maintenance or public incidents may be posted on the status page.

11. Intellectual Property

The Service, including its software, source code, object code, architecture, user interface, visual design, workflows, page structure, templates, prompts, generated examples, documentation, copy, icons, images, logos, product names, features, pricing logic, and branding, is owned by Denali Tech Inc. and protected by copyright, trademark, trade secret, contract, and other intellectual property laws.

PropoKit and the PropoKit logo are trademarks or service marks of Denali Tech Inc. You may not use our names, logos, trade dress, or confusingly similar marks without our prior written permission.

All rights not expressly granted to you are reserved by Denali Tech Inc. No license is granted to copy, clone, modify, publish, distribute, sell, sublicense, host, white-label, or create derivative works from the Service or any proprietary part of it.

12. Feedback and Suggestions

If you send us feedback, ideas, feature requests, suggestions, designs, or other input about PropoKit, you grant Denali Tech Inc. a perpetual, worldwide, royalty-free right to use that input without restriction or compensation. This does not give us ownership of Your Content.

13. Enforcement

We may suspend or terminate access, revoke share links, remove content, block abusive traffic, preserve audit records, and pursue legal or equitable remedies if we believe the Service is being copied, attacked, misused, reverse engineered, or used in violation of these Terms.

14. Limitation of Liability

To the maximum extent permitted by law, Denali Tech Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

15. Indemnification

You agree to indemnify and hold harmless Denali Tech Inc. and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

16. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service at our discretion, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period to comply with legal obligations.

17. Changes to Terms

We may modify these Terms at any time. Material changes will be posted on this page with an updated "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.

18. Governing Law

These Terms are governed by applicable law, without regard to conflict-of-law principles, except where applicable law requires otherwise. Any dispute arising from these Terms or the Service will be resolved in a court of competent jurisdiction unless you and Denali Tech Inc. agree otherwise in writing.
