Rules for using PropoKit.
These Terms explain how PropoKit may be used, what users are responsible for, how subscriptions work, and how PropoKit supports proposal workflow before accounting begins.
PropoKit is operated by Denali Tech Inc.
Agreement to these Terms
These Terms of Service govern your access to and use of PropoKit. By creating an account, signing in, starting a trial, subscribing to a plan, or using PropoKit, you agree to these Terms.
If you are using PropoKit on behalf of a business, you represent that you have authority to accept these Terms for that business.
If you do not agree to these Terms, do not use PropoKit.
Who operates PropoKit
PropoKit is operated by Denali Tech Inc. References to "PropoKit," "we," "us," or "our" mean PropoKit and Denali Tech Inc. where applicable.
What PropoKit does
PropoKit is proposal workflow software for contractors and service businesses. It helps users manage projects, customers, files, proposal sections, products and services, pricing, proposal delivery, signing links, email drafts, proposal status, follow-up, accepted-work preparation, team access, and QuickBooks preparation where connected.
PropoKit is not an accounting system. QuickBooks remains the accounting system of record when used. PropoKit manages the proposal workflow before accounting begins.
Accounts and access
You are responsible for keeping your account secure and for activity that occurs under your account. Use accurate information, protect your sign-in credentials, and notify support if you believe your account has been accessed without authorization.
- Use your own account.
- Do not share owner credentials with teammates.
- Keep your email address accurate.
- Protect access to your email inbox because account-safety links may be sent there.
- Do not attempt to bypass access controls, plan limits, billing gates, or team permissions.
Business use
PropoKit is intended for business use by contractors, service businesses, and related teams. You are responsible for making sure your use of PropoKit, proposal content, pricing, taxes, contracts, customer communications, and business practices comply with laws and obligations that apply to your business.
Plans, trials, billing, and cancellation
PropoKit may offer free trials, paid subscriptions, plan tiers, annual billing, monthly billing, or setup access. The available options are shown in the app, on the Pricing page, or during checkout.
Before you are charged, PropoKit or its payment provider should show the plan, price, billing interval, trial terms if any, renewal terms, and cancellation path.
If a trial renews into a paid plan, the checkout or billing flow should clearly explain when the trial ends, what you will be charged, and how to cancel before renewal.
You can manage billing and cancellation from Billing where available.
Payment processing is handled by an approved payment provider such as Stripe. PropoKit should not store full payment card numbers.
Annual plans may be billed upfront and may include a discount compared with monthly billing. Any refund, credit, or cancellation treatment should follow the Billing Policy and the terms shown at checkout.
Acceptable use
You agree not to misuse PropoKit or use it in a way that harms the service, other users, customers, or connected systems.
- Do not break into accounts, systems, or data you are not allowed to access.
- Do not bypass authentication, access controls, billing gates, team permissions, or security controls.
- Do not upload malware, malicious scripts, or harmful files.
- Do not use PropoKit to send spam, deceptive messages, or illegal content.
- Do not misrepresent your business, pricing, proposal terms, or authority.
- Do not use PropoKit to collect or expose unnecessary sensitive data.
- Do not attempt to reverse engineer private systems where not legally permitted.
- Do not overload, scrape, automate, or abuse the service.
- Do not use PropoKit to violate laws, regulations, contracts, or third-party rights.
Your content and business data
You retain ownership of the business data and content you enter into PropoKit, such as customer details, project information, files, proposal sections, products and services, pricing, terms, email drafts, and related workflow data.
You grant PropoKit permission to host, process, store, display, generate, export, transmit, and otherwise use that content only as needed to provide, protect, support, and improve the service, operate requested features, and comply with legal obligations.
You are responsible for the accuracy, legality, and customer-readiness of the content you send, export, or share from PropoKit.
Customer data
If you enter customer information into PropoKit, you are responsible for having the right to use that information in the service. You should only enter customer data needed to manage proposal workflow and should avoid adding unnecessary sensitive information.
Files and uploads
PropoKit may allow you to upload project files, images, documents, proposal PDFs, and related materials. You are responsible for the files you upload and for making sure you have the right to use and share them.
PropoKit may restrict or remove files that violate these Terms, create security risk, exceed plan limits, appear harmful or abusive, or are required to be removed by law or policy.
Plan storage limits may apply. PropoKit may restrict new uploads or require cleanup if storage limits are exceeded.
Proposal sharing, signing links, PDFs, and email drafts
PropoKit may help you create PDFs, signing links, QR codes, email drafts, proposal versions, and customer-facing proposal views. You are responsible for reviewing proposal content, pricing, legal terms, customer details, and attachments before sharing them with a customer.
A proposal, PDF, signing link, or email draft is not legal, tax, accounting, or business advice from PropoKit.
AI-assisted drafting
PropoKit may include AI-assisted drafting features to help create first-pass proposal content, such as scope, objectives, summaries, or customer-facing wording. AI output may be incomplete, inaccurate, or require editing.
- Review AI-assisted content before sending it to a customer.
- Do not enter passwords, payment card details, private keys, tokens, or unnecessary sensitive data into AI fields.
- You remain responsible for the final proposal, pricing, scope, terms, and customer communication.
- AI-assisted drafting supports the workflow; it does not replace business judgment.
QuickBooks connection and accounting boundary
QuickBooks remains the accounting system of record. PropoKit manages proposal workflow before accounting begins.
When QuickBooks is connected, PropoKit may help prepare accepted proposal work for customer matching, estimate or invoice creation, update, or handoff according to your account settings and authorization.
- Draft proposals stay in PropoKit unless an approved handoff action is used.
- You are responsible for reviewing accepted-work details before sending anything toward QuickBooks.
- Do not send QuickBooks login credentials to PropoKit Support.
- Your use of QuickBooks is also governed by Intuit's terms and policies.
- PropoKit is not responsible for accounting decisions, tax treatment, bookkeeping accuracy, or how you use QuickBooks after handoff.
Team access and permissions
If your plan includes team access, account owners or authorized administrators may invite teammates and assign roles or permissions. You are responsible for managing team access and removing users who should no longer have access.
- Do not share owner credentials.
- Use team access where available.
- Review roles and permissions carefully.
- Teammates should only access customer, project, proposal, file, billing, or integration information they are authorized to use.
Data export
PropoKit may provide account data export tools. Data export is designed as a signed-in, authorized account action. Export files may expire and may require recent authentication or owner access.
Exports are data-portability copies, not backup or restore guarantees. Project file contents may be excluded or provided as manifest-only depending on the current export design.
- Do not share private export links.
- Do not send export files to people who should not have them.
- Do not expect exports to include secrets, tokens, payment card details, or internal system data.
Account deletion
Account deletion is a sensitive action. PropoKit may require email confirmation, signed-in access, recent authentication, ownership checks, billing checks, team checks, QuickBooks checks, or support-assisted review before deletion.
Deleting an account may remove access to projects, proposals, files, exports, team data, and account information. Some information may be retained where required or permitted for legal, billing, tax, fraud-prevention, security, dispute, backup, or compliance reasons.
Support and feedback
PropoKit may provide support through the Support page, email, in-app feedback, or other approved channels. Support response times may vary.
Do not send passwords, payment card numbers, QuickBooks credentials, OAuth tokens, API keys, delete-account confirmation links, export links, or unnecessary private customer data through support messages.
If you send ideas, suggestions, or feedback, you allow PropoKit to use that feedback to improve the product without obligation to compensate you.
Privacy
Your use of PropoKit is also governed by the Privacy Policy, Cookie Notice, and applicable privacy settings.
Availability and changes to the service
PropoKit may change, improve, limit, suspend, or discontinue features over time. We aim to keep the service reliable, but we do not guarantee that PropoKit will always be available, error-free, uninterrupted, or compatible with every workflow, browser, device, integration, or third-party service.
Third-party services
PropoKit may integrate with or rely on third-party services such as hosting providers, authentication providers, payment processors, email providers, analytics/diagnostics tools, and QuickBooks/Intuit. Third-party services may have their own terms and policies.
PropoKit is not responsible for third-party systems outside our control.
Suspension and termination
We may suspend or terminate access if we believe an account violates these Terms, creates security risk, abuses the service, fails to pay required fees, violates law, infringes rights, misuses integrations, or could harm PropoKit, users, customers, or third parties.
You may stop using PropoKit or cancel your subscription according to the Billing Policy and billing controls available in the app.
Disclaimers
PropoKit is provided as software to support proposal workflow. It is not legal, tax, accounting, financial, construction, engineering, or professional advice. You are responsible for reviewing your proposals, pricing, scope, customer communications, accounting handoff, and business decisions.
To the fullest extent allowed by law, PropoKit is provided "as is" and "as available."
Limitation of liability
To the fullest extent allowed by law, PropoKit and Denali Tech Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost data, loss of goodwill, or business interruption arising from or related to your use of PropoKit.
Indemnification
You agree to defend, indemnify, and hold harmless PropoKit and Denali Tech Inc. from claims, damages, liabilities, losses, and expenses arising from your use of PropoKit, your content, your proposals, your customer communications, your business practices, your violation of these Terms, or your violation of law or third-party rights.
Governing law and disputes
These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-law principles, except where applicable consumer-protection law requires otherwise.
Except where prohibited by applicable law, you agree that any dispute arising out of or relating to these Terms or PropoKit shall be brought in the state or federal courts located in Illinois, and you consent to the personal jurisdiction of those courts.
Changes to these Terms
We may update these Terms from time to time. When we make changes, we will update the "Last updated" date. If changes are material, we may provide additional notice where appropriate. Continued use of PropoKit after updated Terms become effective means you accept the updated Terms.
